How to deregister or close a company in South Africa

Sometimes a business has run its course. Closing a company properly matters — if you just walk away, penalties, tax debts and CIPC deregistration can follow you. Here's how to close a South African company the right way.

First: is it dormant or insolvent?

  • If the company simply isn't trading and has no debts, you can apply for voluntary deregistration with CIPC — the simplest route.
  • If the company can't pay its debts, that's liquidation, which is a formal legal process involving a liquidator. Get professional advice before going down this path.

Step 1: Tie up the tax loose ends

Before you close anything, deal with SARS:

  • File any outstanding returns — income tax, VAT and payroll.
  • Pay or clear any tax owed, and deregister for VAT and PAYE if you were registered.
  • Make sure your final annual return with CIPC is up to date.

Closing with unfiled returns or unpaid tax just creates problems later.

Step 2: Settle debts and close accounts

Pay off creditors, close the business bank account (after everything clears), and distribute any remaining assets to the shareholders.

Step 3: Apply to CIPC for deregistration

Submit a deregistration request to CIPC confirming the company has stopped trading, has no assets or liabilities, and (usually) a letter confirming the tax affairs are in order. CIPC then places the company into deregistration.

Step 4: Keep your records

Even after closing, you must keep the company's records for at least five years (see what records SARS expects). SARS can still query historical periods.
